Notice of Change in Particulars
If you need to update your registered information — such as address, controller details, or organisational name — you must file Form 4: Notice of Change in the Particulars Registered by a Non-Profit Organisation. This process is currently manual and in person at the Registrar General’s Office.
What Changes Require Form 4?
- Organisational Details: Name, Physical Address, Mailing Address, Telephone Number, Email Address, Status (from Unincorporated to Body Corporate), Declared Purposes and Activities
- Controller Details: Name, Address, Occupation, Nationality, Nature of Control
- Member Details: Name, Address, Occupation, Nationality
- Beneficiary Details
Completing Form 4
Form 4 has 14 sections. Only complete the sections relevant to the change being filed.
Item 1 — Organisation Identity
Set out the full name of the non-profit organisation and the registration number from your Certificate of Registration.
Item 2 — Organisational Detail Changes
Only complete the relevant sub-items where a change has occurred. For each change, state the new detail and the date on which the change became effective:
- Name change — full new name and effective date
- Physical address change — full new address and effective date
- Mailing address change — full new mailing address and effective date
- Telephone number change — new number and effective date
- Email address change — new address and effective date
- Change of status — date on which the change of status became effective
- Change in declared purposes and activities — set out the new objectives and activities
Item 2A — Incorporation Status
State whether the NPO was incorporated under the Companies Act, Chap. 81:01 or any other written law.
Item 3 — Constituent Documents
Indicate the effective date of any change in constituent documents and specify which document was amended.
Items 4–7 — Controller Changes
- Item 4 — Changes to existing controller details (name, address, occupation, nationality, nature of control) — state the new particulars and effective date for each change
- Item 5 — New controller being added — state full name, address, occupation, nationality, telephone, email, and basis of control
- Items 6 & 7 — Controller being removed — state full name, address, occupation, nationality, telephone, and email
Items 8–(further) — Member Changes
For changes to member details, state the name of the member to whom the change applies, along with the new particulars and the effective date of each change.
Submit Form 4
Bring the completed hardcopy Form 4, signed by the controller, to the Registrar General’s Office in person. Only complete the sections relevant to the specific changes being filed.
